Cyprus tightens rules for foreign-owned companies in registry overhaul
The Cabinet approved a revised framework for registering foreign-interest companies, shifting focus to real economic activity and tougher compliance checks.
The Cabinet on Tuesday approved a revision of the framework governing the registration of foreign-interest companies, following a proposal from the Ministry of Energy, Commerce and Industry, as reported by the Cyprus News Agency (CYPE). According to Energy Minister Michael Damianos, the decision strengthens compliance monitoring and accountability.
The revised framework centres on the genuine economic activity of businesses, regardless of where their capital comes from, and the registry is being renamed the "Business Service Centre Registry". Checks on the 70%–30% employment ratio will now take place seven years after registration, and a clear deregistration mechanism will apply to companies that fail to meet their obligations.
From 1 January 2027, submitting an annual employment report becomes mandatory. The new rules also clarify the conditions under which registration is retained when ultimate beneficial owners obtain Cypriot or other European citizenship, and form part of the broader review of the Strategy for Attracting Businesses and Talent, due to be completed by December 2026.
What it means for residents
Anyone running or working for a company with foreign shareholders should look at their staffing structure now, because the employment mix will be audited years down the line rather than at the point of registration.
- Paperwork: from 1 January 2027 an annual employment report must be filed, so HR and accounting routines need updating.
- Staffing: the 70%–30% ratio will be checked seven years after registration, with deregistration as the fallback for non-compliance.
- Ownership changes: those who acquire Cypriot or another EU citizenship should check how the clarified retention rules apply to their company.
